Agreement and eligibility

These Terms of Service ("Terms") govern your use of NUQVERA ERP. During controlled early access, "NUQVERA", "we", "us" or "our" means the operator providing the service under the NUQVERA brand and reachable at info@nuqvera.com. “NUQVERA Technologies” is presently a product and trading brand, not a representation of an incorporated company. The final registered operating entity and service address will be published before paid commercial availability.

By creating an account, accepting these Terms, or using the service, you agree to them. If you use NUQVERA for an organization, you confirm that you are authorized to bind that organization.

You must be able to enter a binding contract in your location and be at least 18 to create an organization-owner account. If you do not agree, do not use the service.

The service and early-access status

NUQVERA is a multi-organization business platform for accounting, sales, purchasing, inventory, CRM, banking and reporting workflows. Features may be introduced or qualified in stages. Pages or features labelled preview, beta, controlled early access or unavailable have not been represented as generally complete.

Accounts and organizations

You agree to:

• provide accurate account and organization information;
• protect your credentials and use only accounts assigned to you;
• keep member roles, permissions and recovery details current;
• notify us promptly of suspected unauthorized access; and
• ensure that every person using your workspace follows these Terms.

An organization owner or authorized administrator controls workspace membership and business configuration. NUQVERA may rely on instructions submitted through an authenticated account unless we reasonably know the account is compromised.

Customer data and permissions

As between you and NUQVERA, you retain ownership of the information and files that you or your authorized users enter into the service ("Customer Data"). You grant us a limited right to host, copy, process, transmit, back up and display Customer Data only as necessary to provide, secure, support and improve the service, comply with law, and follow your authorized instructions.

You are responsible for the legality, accuracy and quality of Customer Data; having the rights and notices needed to use it; choosing appropriate settings and roles; reviewing calculated outputs; and retaining any records required outside NUQVERA. Do not upload data that the service is not intended or authorized to process.

Our handling of personal data is described in the Privacy Policy. Where NUQVERA processes personal information on behalf of an organization, that organization remains responsible for its own notices, instructions and lawful basis.

Acceptable use

You must not use NUQVERA to:

• break applicable law or another person's rights;
• access an account, organization or record without authorization;
• share credentials, impersonate another person or misstate your authority;
• upload malware or interfere with service security or availability;
• probe, scan, bypass or defeat access, rate, tenant or audit controls;
• scrape or bulk extract information except through an authorized export;
• send spam, deceptive messages or unlawful marketing communications; or
• use the service to create fraudulent financial, tax or regulatory evidence.

You may not resell, sublicense, reverse engineer or create a competing service from protected parts of NUQVERA except to the extent a restriction is prohibited by law or an applicable open-source licence expressly permits it.

Third-party services

NUQVERA may interoperate with identity, email, storage, banking, payment, tax or other providers. A third-party service has its own terms and privacy practices. You choose whether to connect an optional provider and authorize the data it receives.

Sign in with Google is used only for account authentication and linking with the basic identity scopes described in our Privacy Policy. Google, Clerk and other authentication providers may independently process data to operate and secure their services. NUQVERA is not responsible for a third-party service outside our control, but we remain responsible for our own use of data we receive.

Fees and plan terms

These Terms do not by themselves create a charge. If NUQVERA offers a paid plan, the price, included limits, billing interval, taxes, renewal, cancellation and any refund terms will be shown in an order, checkout or separate plan terms before you agree to pay. Those specific terms will control if they conflict with this section.

Availability, changes and security

We work to keep NUQVERA reliable and secure, but we do not promise uninterrupted or error-free operation. Maintenance, security events, provider failures, internet conditions and early-access changes may affect availability. We may modify or retire features, and will provide reasonable notice when a material change adversely affects active customers where practical or legally required.

You are responsible for business-continuity procedures appropriate to your risks, including review of critical postings and exports or independent copies where necessary. Please report suspected vulnerabilities privately to support@nuqvera.com rather than testing them against other users or production data.

NUQVERA intellectual property and feedback

NUQVERA and its licensors retain their rights in the service, software, design, documentation, trademarks and related materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your organization's internal business purposes during the period access is provided.

If you provide feedback, you allow us to use it without restriction or payment, provided we do not publicly identify you as its source without permission.

Suspension and termination

You may stop using NUQVERA at any time. Contact support@nuqvera.com for account closure or available export options. An organization owner is responsible for authorized closure instructions and any required records.

We may restrict or suspend access when reasonably necessary to address a security threat, unlawful use, material breach, non-payment under agreed plan terms, or risk to other users or the service. Where appropriate, we will give notice and an opportunity to remedy the issue. Some provisions—including ownership, payment, disclaimers, liability and dispute terms—survive termination by their nature.

Disclaimers and limitation of liability

To the fullest extent permitted by applicable law, the service is provided “as is” and “as available.” NUQVERA disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that software outputs, tax treatments, reports or integrations are complete or suitable for your circumstances without professional review.

To the fullest extent permitted by law, NUQVERA will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for lost profit, revenue, goodwill, opportunity or data. NUQVERA's aggregate liability arising from the service will not exceed the amount paid by the affected customer for the service during the 12 months before the event giving rise to the claim, or USD 100 if no fee was paid.

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct where applicable. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Applicable law and disputes

These Terms are governed by the applicable laws of Pakistan, without regard to conflict-of-law principles. Courts of competent jurisdiction in Pakistan will have jurisdiction, subject to any mandatory consumer or other rights that apply in your location. Before filing a claim, each party should first try in good faith for 30 days to resolve it through the contact details below.

Changes and general terms

We may update these Terms as the service or legal requirements change. The effective date will be revised, and material changes will receive additional notice where appropriate. Continued use after the effective date of updated Terms means you accept them, unless applicable law requires another form of agreement.

If one provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them with the service or as part of a reorganization, subject to applicable law. These Terms, the Privacy Policy and any agreed order or plan terms are the entire agreement for the service unless another signed agreement applies.
